1. Agreement to Terms

These Terms of Service ("Terms") constitute a binding agreement between you ("you", "your", or "Customer") and XinoAPI ("XinoAPI", "we", "us", or "our") regarding your access to and use of the XinoAPI website at xinoapi.com, the API services at api.xinoapi.com, the XinoAPI Privacy SDK, and any related services we provide (collectively, the "Service").

By creating an account, accessing the Service, or making API calls, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to that organization.

2. Your Account

Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement and that you are not prohibited from receiving services under the laws of your jurisdiction or any applicable export controls or sanctions laws.

Mainland China service restriction

The Service is intended for users and businesses located outside mainland China. Users located in mainland China are not permitted to register for, purchase, access, or use the API service. We may block access, refuse registration, cancel purchases, suspend accounts, or request additional verification when we reasonably believe that an account, payment method, network location, or API usage originates from mainland China.

This restriction is designed to maintain a clear cross-border service boundary for Chinese LLM inference export and related legal compliance. If you are an administrator or employee of XinoAPI connecting from mainland China for operational maintenance, you must use an approved administrator network or fixed IP address.

Account creation

You may register an account using email/password, GitHub, or Google OAuth. You agree to provide accurate, current, and complete information, and to keep your account information updated.

Security of credentials

You are responsible for safeguarding your account password, API keys (including any key starting with xino-), and OAuth credentials. You agree to:

3. The Service

What we provide

XinoAPI is a unified API gateway that routes requests to large language models (LLMs) operated by third-party providers including but not limited to DeepSeek, Alibaba (Qwen), Zhipu (GLM), Moonshot (Kimi), and MiniMax (collectively, "Upstream Providers"). The Service includes:

What we do not provide

We are not the developer or operator of any Upstream Provider's models. We do not control model availability, response quality, training data, or model behavior. Models may be updated, deprecated, or removed by their providers at any time, sometimes without notice.

No guarantee of availability

While we strive for high availability (target: 99.5% monthly uptime for the gateway), we do not guarantee uninterrupted access. The Service may experience downtime due to maintenance, upstream provider outages, network issues, or events outside our reasonable control.

You also agree to comply with the terms of service, acceptable use policies, data policies, and regional restrictions of the Upstream Providers whose models you use through XinoAPI. You may not use XinoAPI to bypass a provider's own eligibility, country, sanctions, export-control, content, or data-processing restrictions. We may forward usage information to providers when required by their terms or by applicable law.

Enforcement

We may, at our sole discretion, suspend or terminate accounts that violate this Acceptable Use Policy. We may also remove access to specific models or features without prior notice if abuse is detected.

5. Payments and Credits

Pricing

Current pricing is published at xinoapi.com/pricing. Prices are denominated in US dollars and reflect a 25% markup over the corresponding Upstream Provider's published prices (subject to change). All prices exclude applicable taxes.

Credits

The Service operates on a prepaid credit model. You purchase credits, which are deducted from your balance based on token usage at the published rates for each model.

Payment processing

Payments are processed by Stripe, Inc. By making a purchase, you agree to Stripe's terms of service. We do not store your full credit card information. Failed payments may result in suspended access until resolved.

Refunds

Credits are eligible for refund within 30 days of purchase, provided no more than 10% of the credit has been consumed. To request a refund, email support@xinoapi.com with your account email and order ID. Refunds are processed via the original payment method within 5–10 business days.

Taxes

You are responsible for any taxes, duties, or governmental assessments associated with your use of the Service, except for taxes based on our net income. We may collect VAT, GST, or sales tax where required by law.

Failed payments and chargebacks

If a payment is reversed, charged back, or otherwise fails after credits have been issued, we reserve the right to immediately deduct the corresponding credits from your account or suspend access.

6. Third-Party Models and Providers

The Service forwards your requests to Upstream Providers operated by third parties. By using a model, you acknowledge:

You are responsible for selecting models and providers that are lawful and appropriate for your jurisdiction, industry, data sensitivity, and use case. If a provider's terms prohibit your use case, you must not route that use case through XinoAPI.

Our XinoAPI Privacy SDK provides client-side PII redaction to mitigate this risk. For maximum data protection, we recommend using the SDK and reviewing each provider's data handling practices before sending sensitive data.

7. Intellectual Property

Our property

The XinoAPI service, including the website, dashboard, documentation, branding, and any non-open-source code, is owned by XinoAPI and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.

Your content

You retain all rights to the prompts, data, and content you submit through the Service ("Your Content"). By submitting Your Content, you grant us a limited license to:

We do not use Your Content to train AI models, and we do not sell Your Content to third parties.

Model output

Subject to the terms of the relevant Upstream Provider, you generally own the output generated by AI models in response to your prompts. However, AI-generated content may not be eligible for copyright protection in all jurisdictions, and similar outputs may be generated for other users.

Open-source SDK

The XinoAPI Privacy SDK is licensed under the MIT License and may be used, modified, and redistributed in accordance with that license. The license is available in the GitHub repository.

Trademarks

"XinoAPI" and the XinoAPI logo are trademarks of XinoAPI. Trademarks of Upstream Providers (e.g., DeepSeek, Qwen, GLM, Kimi, MiniMax) are the property of their respective owners. Reference to these trademarks does not imply endorsement.

8. Data Handling and Confidentiality

Our handling of your data is described in detail in our Privacy Policy. Key points:

If you send sensitive data (PII, PHI, financial data, trade secrets) through the Service, you acknowledge that this data will reach Upstream Providers in the regions where they operate. We strongly recommend using the XinoAPI Privacy SDK for client-side redaction before any such data leaves your environment.

9. Termination and Suspension

Termination by you

You may terminate your account at any time by contacting support@xinoapi.com or through the dashboard self-service option. Unused credits may be refunded subject to the refund policy in Section 5.

We may suspend or terminate your access to the Service, with or without notice, if:

Upon termination, your right to access the Service ends immediately. We may delete your account data after a reasonable retention period (typically 30 days), subject to legal retention obligations.

10. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

Without limiting the foregoing, we do not warrant that:

AI-generated content may contain errors, biases, hallucinations, or inappropriate content. You should not rely on model outputs for medical, legal, financial, or other professional decisions without independent verification.

To the extent permitted by law, we disclaim all liability for the accuracy or fitness of any model output for your purposes.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

In no event shall XinoAPI, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of (or inability to use) the Service, regardless of the legal theory.

14. Governing Law and Disputes

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws principles, except for mandatory consumer protection rules of the jurisdiction where you reside.

Dispute resolution

Before filing any formal proceeding, the parties agree to attempt to resolve disputes informally by contacting legal@xinoapi.com. If a dispute is not resolved within 60 days, either party may pursue available legal remedies.

Forum

Any legal action arising out of or related to these Terms shall be brought exclusively in the courts of Singapore, and you consent to the personal jurisdiction of those courts. Nothing in this section limits either party's right to seek injunctive relief in any court of competent jurisdiction.

No class actions

To the extent permitted by law, you agree to resolve any disputes on an individual basis and waive any right to pursue claims as a class member or representative.
