Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a binding agreement between you ("you", "your", or "Customer") and XinoAPI ("XinoAPI", "we", "us", or "our") regarding your access to and use of the XinoAPI website at xinoapi.com, the API services at api.xinoapi.com, the XinoAPI Privacy SDK, and any related services we provide (collectively, the "Service").

By creating an account, accessing the Service, or making API calls, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to that organization.

2. Your Account

Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement and that you are not prohibited from receiving services under the laws of your jurisdiction or any applicable export controls or sanctions laws.

Mainland China service restriction

The Service is intended for users and businesses located outside mainland China. Users located in mainland China are not permitted to register for, purchase, access, or use the API service. We may block access, refuse registration, cancel purchases, suspend accounts, or request additional verification when we reasonably believe that an account, payment method, network location, or API usage originates from mainland China.

This restriction is designed to maintain a clear cross-border service boundary for Chinese LLM inference export and related legal compliance. If you are an administrator or employee of XinoAPI connecting from mainland China for operational maintenance, you must use an approved administrator network or fixed IP address.

Account creation

You may register an account using email/password, GitHub, or Google OAuth. You agree to provide accurate, current, and complete information, and to keep your account information updated.

Security of credentials

You are responsible for safeguarding your account password, API keys (including any key starting with xino-), and OAuth credentials. You agree to:

• Not share your API keys publicly (including in client-side code, public repositories, or screenshots)
• Notify us immediately at security@xinoapi.com of any unauthorized use of your account
• Be responsible for all activities that occur under your account, including charges incurred

We strongly recommend storing API keys in environment variables or secret managers, and rotating them periodically.

3. The Service

What we provide

XinoAPI is a unified API gateway that routes requests to artificial intelligence models, including large language models (LLMs), image-generation models, and video-generation models, operated by third-party providers including but not limited to DeepSeek, Alibaba (Qwen), Zhipu (GLM), Moonshot (Kimi), MiniMax, and ByteDance (collectively, "Upstream Providers"). The Service includes:

• An OpenAI-compatible API endpoint at api.xinoapi.com/v1
• Account dashboard, billing, and usage analytics
• The XinoAPI Privacy SDK (open-source, MIT-licensed)
• Optional security features: response signing (HMAC-SHA256), threat scanning, and audit logging

What we do not provide

We are not the developer or operator of any Upstream Provider's models. We do not control model availability, response quality, training data, or model behavior. Models may be updated, deprecated, or removed by their providers at any time, sometimes without notice.

No guarantee of availability

While we strive for high availability (target: 99.5% monthly uptime for the gateway), we do not guarantee uninterrupted access. The Service may experience downtime due to maintenance, upstream provider outages, network issues, or events outside our reasonable control.

4. Acceptable Use Policy

You agree not to use the Service to:

AI-generated content standards

These standards apply to every prompt, input, upload, generation request, model output, publication, and distribution made through or using the Service, including text, image, audio, and video generation. You must not use the Service to create, request, edit, transform, distribute, or facilitate any of the following:

1. Sexual or pornographic content: pornography, explicit sexual acts, sexualized nudity, non-consensual intimate imagery, or other sexually explicit or NSFW material.
2. Violence or graphic content: graphic injury, gore, torture, mutilation, executions, or content that glorifies, encourages, or provides instructions for real-world violence.
3. Hate speech: content that promotes hatred, dehumanization, discrimination, harassment, or violence against a person or group based on race, ethnicity, nationality, religion, caste, disability, sex, gender identity, sexual orientation, or another protected characteristic.
4. Child sexual abuse or exploitation: CSAM or any sexualized, exploitative, grooming-related, or otherwise unsafe content involving a person under 18, whether real, fictional, AI-generated, animated, or altered. Never upload or submit such material to the Service.
5. Deceptive deepfakes or impersonation: content that uses a real person's identity, face, voice, likeness, or personal characteristics without authorization to deceive, defraud, harass, exploit, or falsely suggest that the person said, did, or endorsed something.
6. Copyright or trademark infringement: content that copies, counterfeits, misappropriates, or otherwise infringes another person's copyright, trademark, trade dress, publicity right, or other intellectual-property right, including requests intended to evade rights-holder protections.

You are responsible for reviewing generated content before using or publishing it and for obtaining all necessary rights, licenses, permissions, and consents. A model's ability to generate content does not mean that the content is lawful or permitted under these Terms.

Illegal or harmful activities

• Violate any applicable law, regulation, or court order
• Generate, distribute, or facilitate terrorist content or content that incites violence
• Engage in fraud, identity theft, money laundering, or unauthorized access to systems
• Generate malware, ransomware, exploits, or attack tools
• Conduct unauthorized security testing or penetration of any system

Abuse of the Service

• Reverse-engineer, decompile, or attempt to extract source code from the Service (except where permitted by law)
• Use the Service to train, fine-tune, or evaluate competing AI models or AI gateways
• Resell or sublicense the Service without our prior written consent
• Circumvent rate limits, billing, or authentication systems
• Probe, scan, or test the vulnerability of the Service without authorization
• Use multiple accounts to evade limits, suspensions, or to obtain free credits multiple times

Harm to others

• Generate content that defames, harasses, or threatens any person or entity
• Send spam, phishing emails, or unsolicited bulk communications
• Provide medical, legal, or financial advice as if from a licensed professional without proper disclosure

Provider-specific terms

You also agree to comply with the terms of service, acceptable use policies, data policies, and regional restrictions of the Upstream Providers whose models you use through XinoAPI. You may not use XinoAPI to bypass a provider's own eligibility, country, sanctions, export-control, content, or data-processing restrictions. We may forward usage information to providers when required by their terms or by applicable law.

Content moderation and review

XinoAPI uses a layered moderation process. Gateway controls automatically inspect requests and responses in transit for supported security threats and exposed credentials, and Upstream Providers may apply their own content-safety classifiers and filters. We also evaluate account-level abuse signals, request metadata, provider notices, and user reports. Automated systems may block a request or output, but they do not identify every prohibited generation.

Authorized personnel may review a report, the evidence voluntarily supplied with it, relevant request identifiers and cryptographic hashes, account history, and information provided by an Upstream Provider. Because XinoAPI generally discards plaintext prompts and outputs after delivering a response, we may ask the reporter or account holder to provide the content needed for review. Human reviewers assess context, severity, intent, recurrence, applicable law, and the safety of affected people before deciding on enforcement where circumstances permit.

Reporting prohibited content

Anyone may report suspected prohibited content or misuse by emailing support@xinoapi.com with the subject Content Safety Report. Include the applicable prohibited category, a description of the issue, the approximate date and time, the model used, and any relevant account, URL, request ID, or request hash. Include only the minimum evidence necessary for us to investigate.

Do not email, upload, or reproduce suspected CSAM. Report identifying information such as the request ID or location instead, and contact the appropriate local law-enforcement or child-protection authority. Reports involving child safety, credible threats, or imminent physical harm receive priority review.

Enforcement

Depending on the nature, severity, and recurrence of a violation, we may block a request or output; issue a warning; restrict access to a model, capability, API key, or account; suspend or terminate an account; preserve relevant records as permitted by law; notify an Upstream Provider; or report suspected illegal activity to competent authorities. We may act without prior notice when reasonably necessary to protect a child or other person, prevent imminent harm, comply with law, or protect the Service. We may reject reports submitted in bad faith or intended to harass another person.

5. Payments and Credits

Pricing

Current pricing is published at xinoapi.com/pricing. Prices are denominated in US dollars and vary by model and route. Published rates include XinoAPI's gateway service, and no separate XinoAPI top-up fee is added. Featured-model comparisons identify their reference list and verification date. All prices exclude applicable taxes.

Credits

The Service operates on a prepaid credit model. You purchase credits, which are deducted from your balance based on token usage at the published rates for each model.

• Minimum purchase: $20.00 USD
• Credits never expire
• Credits are non-transferable between accounts
• New accounts may receive promotional credits at our discretion (currently $2.00)

Payment processing

Payments are processed by Stripe, Inc. By making a purchase, you agree to Stripe's terms of service. We do not store your full credit card information. Failed payments may result in suspended access until resolved.

Refunds

Credits are eligible for refund within 30 days of purchase, provided no more than 10% of the credit has been consumed. To request a refund, email support@xinoapi.com with your account email and order ID. Refunds are processed via the original payment method within 5–10 business days.

Taxes

You are responsible for any taxes, duties, or governmental assessments associated with your use of the Service, except for taxes based on our net income. We may collect VAT, GST, or sales tax where required by law.

Failed payments and chargebacks

If a payment is reversed, charged back, or otherwise fails after credits have been issued, we reserve the right to immediately deduct the corresponding credits from your account or suspend access.

6. Third-Party Models and Providers

The Service forwards your requests to Upstream Providers operated by third parties. By using a model, you acknowledge:

• The Upstream Provider, not XinoAPI, generates the model output
• Each Upstream Provider has its own terms of service, privacy policy, and content policies
• Each Upstream Provider may impose its own regional, sanctions, export-control, or business-use restrictions
• We do not warrant the accuracy, reliability, or appropriateness of any model output
• Some providers may use prompt or response data to improve their models. We attempt to opt out of such usage where the provider offers an opt-out, but cannot guarantee that no provider will use your data

You are responsible for selecting models and providers that are lawful and appropriate for your jurisdiction, industry, data sensitivity, and use case. If a provider's terms prohibit your use case, you must not route that use case through XinoAPI.

Our XinoAPI Privacy SDK provides client-side PII redaction to mitigate this risk. For maximum data protection, we recommend using the SDK and reviewing each provider's data handling practices before sending sensitive data.

7. Intellectual Property

Our property

The XinoAPI service, including the website, dashboard, documentation, branding, and any non-open-source code, is owned by XinoAPI and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.

Your content

You retain all rights to the prompts, data, and content you submit through the Service ("Your Content"). By submitting Your Content, you grant us a limited license to:

• Process Your Content as necessary to provide the Service (e.g., forwarding to Upstream Providers)
• Store non-reversible cryptographic hashes or metadata for audit logging where such controls are enabled (no plaintext stored)
• Generate aggregated, anonymized usage statistics (e.g., "X requests per hour to model Y")

We do not use Your Content to train AI models, and we do not sell Your Content to third parties.

Model output

Subject to the terms of the relevant Upstream Provider, you generally own the output generated by AI models in response to your prompts. However, AI-generated content may not be eligible for copyright protection in all jurisdictions, and similar outputs may be generated for other users.

Open-source SDK

The XinoAPI Privacy SDK is licensed under the MIT License and may be used, modified, and redistributed in accordance with that license. The license is available in the GitHub repository.

Trademarks

"XinoAPI" and the XinoAPI logo are trademarks of XinoAPI. Trademarks of Upstream Providers (e.g., DeepSeek, Qwen, GLM, Kimi, MiniMax) are the property of their respective owners. Reference to these trademarks does not imply endorsement.

8. Data Handling and Confidentiality

Our handling of your data is described in detail in our Privacy Policy. Key points:

• We do not store the plaintext content of your prompts or responses beyond the duration of the API request
• We may store cryptographic hashes (for example SHA-256) or metadata for audit purposes where such controls are enabled
• We retain account-level metadata: email, IP, timestamps, token usage counts, model used
• We do not use Your Content to train AI models
• Data is processed in Singapore and the United States; transfers may occur to Upstream Providers' regions (including mainland China for some providers)

9. Termination and Suspension

Termination by you

You may terminate your account at any time by contacting support@xinoapi.com or through the dashboard self-service option. Unused credits may be refunded subject to the refund policy in Section 5.

Termination or suspension by us

We may suspend or terminate your access to the Service, with or without notice, if:

• You violate these Terms or the Acceptable Use Policy
• Your account is associated with fraudulent activity, chargebacks, or payment failures
• We are required to do so by law, regulation, or order of a competent authority
• An Upstream Provider revokes our access to their service
• The Service is discontinued (we will provide at least 30 days' notice and refund unused credits)

Effect of termination

Upon termination, your right to access the Service ends immediately. We may delete your account data after a reasonable retention period (typically 30 days), subject to legal retention obligations.

10. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

Without limiting the foregoing, we do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Model outputs will be accurate, complete, current, or fit for any particular purpose
• The Service will meet your specific requirements
• Any defects in the Service will be corrected

AI-generated content may contain errors, biases, hallucinations, or inappropriate content. You should not rely on model outputs for medical, legal, financial, or other professional decisions without independent verification.

To the extent permitted by law, we disclaim all liability for the accuracy or fitness of any model output for your purposes.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

In no event shall XinoAPI, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of (or inability to use) the Service, regardless of the legal theory.

Our total cumulative liability for all claims arising out of or related to the Service shall not exceed the greater of:

• (a) the total fees you paid to XinoAPI in the 12 months preceding the event giving rise to the claim, or
• (b) one hundred US dollars ($100 USD)

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

12. Indemnification

You agree to indemnify, defend, and hold harmless XinoAPI and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of:

• Your breach of these Terms or the Acceptable Use Policy
• Your use of the Service in violation of applicable law
• Your infringement of any third-party rights
• Content you submit through the Service or content generated using the Service that you redistribute

13. Changes to Terms

We may update these Terms from time to time. When we do, we will:

• Update the "Last updated" date at the top of this page
• For material changes that adversely affect your payment terms or legal rights, send you an email at least 14 days before the changes take effect
• Changes required for law, security, fraud prevention, abuse prevention, or content safety, and non-material changes such as clarifications or typo fixes, may take effect immediately

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service.

14. Governing Law and Disputes

Governing law

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws principles, except for mandatory consumer protection rules of the jurisdiction where you reside.

Dispute resolution

Before filing any formal proceeding, the parties agree to attempt to resolve disputes informally by contacting legal@xinoapi.com. If a dispute is not resolved within 60 days, either party may pursue available legal remedies.

Forum

Any legal action arising out of or related to these Terms shall be brought exclusively in the courts of Singapore, and you consent to the personal jurisdiction of those courts. Nothing in this section limits either party's right to seek injunctive relief in any court of competent jurisdiction.

No class actions

To the extent permitted by law, you agree to resolve any disputes on an individual basis and waive any right to pursue claims as a class member or representative.
